Mr. Jeremy W. Deems is Independent Trustee of the Company. Mr. Deems is currently CoFounder and Chief Financial Officer of Green Alpha Advisors, LLC an investment management firm and a coportfolio manager of the Shelton Green Alpha Fund. Mr. Deems was formerly the Chief Financial Officer and Treasurer of Forward Management, LLC, an investment management firm, ReFlow Management Co., LLC, a liquidity resourcing company, and ReFlow Fund, LLC, a private investment fund. Mr. Deems was also Chief Financial Officer and Treasurer of Sutton Place Management, LLC, administrative services company, from 2004 and 2007. Prior to that, Mr. Deems served as Controller of Forward Management, LLC, ReFlow Management Co., LLC, ReFlow Fund, LLC and Sutton Place Management, LLC. Mr. Deems currently serves as Trustee of ALPS ETF Trust, Financial Investors Trust, ALPS Variable Insurance Trust and Elevation ETF Trust. In addition, Mr. Deems held a Certified Public Accountant license from August 2001 to February 2017. Mr. Deems was a Trustee since 2008 for the Fund. Mr. Deems also serves as a Chairman of the Audit Committee and as a member of the Nominating Corporationrationrate Governance Committee

Reaves Utility If Leadership Team
Elected by the shareholders, the Reaves Utility's board of directors comprises two types of representatives: Reaves Utility inside directors who are chosen from within the company, and outside directors, selected externally and held independent of Reaves. The board's role is to monitor Reaves Utility's management team and ensure that shareholders' interests are well served. Reaves Utility's inside directors are responsible for reviewing and approving budgets prepared by upper management to implement core corporate initiatives and projects. On the other hand, Reaves Utility's outside directors are responsible for providing unbiased perspectives on the board's policies.
