Mr. Michael F. Holland is Independent Trustee of the Company. Mr. Holland also currently serves as Chairman and Trustee of the State Street Master Funds, Director of the Holland Series Funds, Inc., and as Trustee of the BlackstoneGSO Senior Floating Rate Term Fund, the China Fund, Inc., and the Taiwan Fund, Inc. Mr. Holland began his career at J.P. Morgan in 1968 spending twelve years managing both equity and fixed income assets for major institutional clients and high net worth individuals. He also served as Chief Executive Officer of First Boston Asset Management in the early 1980 and later served as Chairman of Salomon Brothers Asset Management. He has also been a General Partner of the Blackstone Group, Chief Executive Officer of Blackstone Alternative Asset Management and a former Vice Chairman of Oppenheimer Co., Inc. Mr. Holland has served as Trustee for the Fund since its inception. Mr. Holland also serves as a member of the Audit Committee and Nominating and Corporationrationrate Governance Committee. Mr. Holland has further enhanced his experience and skills, in conjunction with the other Trustees, through the Boards oversight of the Fund officers in dealing with a diverse range of topics, to include but not limited to, portfolio management, legal and regulatory matters, compliance oversight, preparation of financial statements and oversight of the Funds multiple service providers.

Reaves Utility If Leadership Team
Elected by the shareholders, the Reaves Utility's board of directors comprises two types of representatives: Reaves Utility inside directors who are chosen from within the company, and outside directors, selected externally and held independent of Reaves. The board's role is to monitor Reaves Utility's management team and ensure that shareholders' interests are well served. Reaves Utility's inside directors are responsible for reviewing and approving budgets prepared by upper management to implement core corporate initiatives and projects. On the other hand, Reaves Utility's outside directors are responsible for providing unbiased perspectives on the board's policies.
