Mr. Larry W. Papasan is Independent Trustee of the Company. Mr. Papasan is currently a Trustee or Director of Mimedx, Inc. AxioMed Spine, BioMedical Tissues Technologies, Bionova, Inc., and MEDOVEX Corporationration, each a medical services company. Mr. Papasan is also currently a Trustee or Director of SSR Engineering and Triumph Bankshares, Inc. Mr. Papasan was a former Trustee of First Funds mutual fund complex from 1992 to 2005, Chairman and President of Smith Nephew, Inc. from 1991 to 2002 and President of Memphis Light Gas and Water Division during his 28 year tenure. Mr. Papasan has further enhanced his experience and skills, in conjunction with the other Trustees, through the Boards ongoing oversight of the Fund officers in dealing with a diverse range of topics, to include but not limited to, portfolio management, legal and regulatory matters, compliance oversight, preparation of financial statements and oversight of the Funds multiple service providers. Mr. Papasan has served as Trustee for the Fund since its inception. Mr. Papasan also serves as a member of the Audit Committee and the Nominating and Corporationrationrate Governance Committee.

Reaves Utility If Leadership Team
Elected by the shareholders, the Reaves Utility's board of directors comprises two types of representatives: Reaves Utility inside directors who are chosen from within the company, and outside directors, selected externally and held independent of Reaves. The board's role is to monitor Reaves Utility's management team and ensure that shareholders' interests are well served. Reaves Utility's inside directors are responsible for reviewing and approving budgets prepared by upper management to implement core corporate initiatives and projects. On the other hand, Reaves Utility's outside directors are responsible for providing unbiased perspectives on the board's policies.
