Mr. James E. Craddock is a Independent Director of the Company. Mr. James E. Craddock has served on Noble Energy Inc. Board of Directors since its merger with Rosetta Resources Inc. in 2015 and served as the Chairman, Chief Executive Officer and President of Rosetta from 2013 to 2015. Mr. Craddock is currently a member of Noble Compensation and Corporationrationrate Governance and Nominating committees and is Chair of the Safety, Sustainability and Corporationrationrate Responsibility Committee. Previously, he was the Executive Director and Chief Operating Officer for BPI Industries Inc. and held several positions of increasing responsibility over a 20year career at Burlington Resources Inc. He holds a BS in Mechanical Engineering from Texas AM University. Mr. Craddock does not currently hold any Crescent Point securities. This is his first time standing for election to our Board. since 2019.

CPG Old Leadership Team
Elected by the shareholders, the CPG Old's board of directors comprises two types of representatives: CPG Old inside directors who are chosen from within the company, and outside directors, selected externally and held independent of CPG. The board's role is to monitor CPG Old's management team and ensure that shareholders' interests are well served. CPG Old's inside directors are responsible for reviewing and approving budgets prepared by upper management to implement core corporate initiatives and projects. On the other hand, CPG Old's outside directors are responsible for providing unbiased perspectives on the board's policies.
