Dr. Laurence M. Corash, M.D., is Chief Scientific Officer of Cerus Corporationrationration. Dr. Corash is one of our cofounders, has served as a member of our Board since December 2002. As noted above, Dr. Corash announced his intention to not stand for reelection at, and he will retire from the Board effective as of, the Annual Meeting. Dr. Corash was our Chief Scientific Officer since July 2015, and will continue to serve as our Chief Scientific Officer following his retirement from the Board. Previously, he had been our Senior Vice President and Chief Medical and Chief Scientific Officer since July 2009. Prior to that, he had been our Senior Vice President and Chief Medical Officer since March 2008, Vice President, Medical Affairs since July 1996 and Director of Medical Affairs from July 1994. Prior to that, Dr. Corash was a consultant to us. Dr. Corash was a Professor of Laboratory Medicine at the University of California, San Francisco since July 1985. He was the Chief of the Hematology Laboratory for the Medical Center at the University of California, San Francisco from 1982 to 1997. From February 1990 to July 1994, Dr. Corash was a member of the FDA Advisory Panel for Hematology Devices. From 2008 until 2011, Dr. Corash served as the industry representative on the Department of Health and Human Services Advisory Committee on Blood Safety and Availability. Dr. Corashs extensive knowledge of us, having been a director since 2002, brought historic knowledge and continuity to the Board, and his scientific expertise obtained from over 30 years as an M.D. in the field of hematology contributed significantly to the Board. since 2019.

Cerus Leadership Team
Elected by the shareholders, the Cerus' board of directors comprises two types of representatives: Cerus inside directors who are chosen from within the company, and outside directors, selected externally and held independent of Cerus. The board's role is to monitor Cerus' management team and ensure that shareholders' interests are well served. Cerus' inside directors are responsible for reviewing and approving budgets prepared by upper management to implement core corporate initiatives and projects. On the other hand, Cerus' outside directors are responsible for providing unbiased perspectives on the board's policies.
