Ms. Ellen T. Ruff is an Independent Director of Aqua America Inc. Ms. Ruff was President, Office of Nuclear Development, for Duke Energy Corporationrationration, from December 2008 until her retirement in January 2011. Ms. Ruff was a partner at the law firm of McGuire Woods LLP from 2011 to 2018. From April 2006 through December 2008, Ms. Ruff was President of Duke Energy Carolinas, an electric utility that provides electricity and other services to customers in North Carolina and South Carolina. Ms. Ruff joined Duke Energy in 1978 and during her career held a number of key positions, including Vice President and General Counsel of Corporationrationrate, Gas and Electric Operations Senior Vice President and General Counsel for Duke Energy Senior Vice President of Asset Management for Duke Power Senior Vice President of Power Policy and Planning and Group Vice President of Planning and External Affairs. since 2006.
Ruff has served as a member of the Company’s Executive Compensation Committee since 2006. The Board of Directors has determined that Ms. Ruff is an independent director. The Board of Directors views Ms. Ruff’s independence, her experience with various aspects of the utility industry, her knowledge of North Carolina and her demonstrated leadership roles in business and community activities as important qualifications, skills and experience supporting the Board of Directors’ conclusion that Ms. Ruff should serve as a director of the Company.

Elected by the shareholders, the Aqua America's board of directors comprises two types of representatives: Aqua America inside directors who are chosen from within the company, and outside directors, selected externally and held independent of Aqua.
