Mr. Christopher D. OLeary is Independent Director of the Company. Mr. OLeary brings to the TDS board of directors substantial experience, expertise and qualifications as a result of his many years as a director of TDS and as a result of his over 30 years of experience in marketing, management and operations. In addition, Mr. OLeary has over 15 years of significant and highlevel experience in management of large multinational businesses with a large number of employees, including dealing with businesses outside the U.S. Because of the competitive nature of the TDS businesses, the TDS board of directors believes that it is highly desirable to have a director with significant knowledge and experience in marketing and executive leadership. In addition, Mr. OLeary has experience as a member of the TDS Compensation Committee since 2007 and the TDS Audit Committee since 2016. In January 2019, Mr. OLeary was elected to the board of directors at Tupperware Brands Corporation and appointed to its Audit, Finance and Corporationrationrate Responsibility Committees since 2006.
