Mr. Derek Charge is Independent Director of the Company. Derek Charge is nonexecutive director of the New Zealand Institute for Minerals to Materials Research. From his previous experience in various executive roles with BlueScope Steel Limited, he brings a background in heavy manufacturing, mining and minerals processing, and logistics and port operations. As Vice President Minerals of New Zealand Steel he led the sixfold growth of NZs ironsand exports, as well gaining significant experience in the coal, vanadium, shipping and steel industries. Prior to joining BlueScope, Derek Charge was a partner of nationwide Australian law firm, Sparke Helmore, specialising in mineral resource development and environmental planning law. Derek Charge holds Bachelors degrees in Jurisprudence and Law, and a Masters degree in Media, IT and Telecommunications Law, all from the University of New South Wales. He has also carried out extensive tertiary study in physics and in agricultural sciences. since 2019.

Elected by the shareholders, the SCOTT TECHNOLOGY's board of directors comprises two types of representatives: SCOTT TECHNOLOGY inside directors who are chosen from within the company, and outside directors, selected externally and held independent of SCOTT. The board's role is to monitor SCOTT TECHNOLOGY's management team and ensure that shareholders' interests are well served. SCOTT TECHNOLOGY's inside directors are responsible for reviewing and approving budgets prepared by upper management to implement core corporate initiatives and projects. On the other hand, SCOTT TECHNOLOGY's outside directors are responsible for providing unbiased perspectives on the board's policies.
