Ms. Carole E. Stone is Independent Director of Nuveen Core Equity Alpha Fund. Ms. Stone retired from the New York State Division of the Budget in 2004, having served as its Director for nearly five years and as Deputy Director from 1995 through 1999. Ms. Stone is currently on the Board of Directors of the Chicago Board Options Exchange, CBOE Holdings, Inc. and C2 Options Exchange, Incorporated. She has also served as the Chair of the New York Racing Association Oversight Board, as Chair of the Public Authorities Control Board, as a Commissioner on the New York State Commission on Public Authority Reform and as a member of the boards of directors of several New York State public authorities

Nuveen Core Equity Leadership Team
Elected by the shareholders, the Nuveen Core's board of directors comprises two types of representatives: Nuveen Core inside directors who are chosen from within the company, and outside directors, selected externally and held independent of Nuveen. The board's role is to monitor Nuveen Core's management team and ensure that shareholders' interests are well served. Nuveen Core's inside directors are responsible for reviewing and approving budgets prepared by upper management to implement core corporate initiatives and projects. On the other hand, Nuveen Core's outside directors are responsible for providing unbiased perspectives on the board's policies.
