Mr. Lawrence J. Ruisi is Independent Director of the Company. He has served as a director of our company since 2013, and is the chair of our audit committee and is a member of our risk committee. As an operating executive, Mr. Ruisi held various senior level positions in the entertainment business, including President Chief Executive Officer of Loews Cineplex Entertainment Corporationrationration, a movie theatre operator with 400 locations worldwide, and as Executive Vice President and Chief Financial Officer of Columbia Pictures Entertainment. As a nonexecutive, Mr. Ruisi served on numerous boards including Hughes Communications Inc., UST Inc., InnKeepers USA Trust, Wyndham International, Inc. and Adaptec, Inc. During his tenure on these boards, Mr. Ruisi was Chairman of various audit committees, named designated financial expert and served on both compensation and nominating and corporate governance committees. Mr. Ruisi was Chairman of the Independent Committee of the board of InnKeepers, which oversaw its restructuring, and was Chairman of Special Committees at both Wyndham and Adaptec. Mr. Ruisi began his career at Price Waterhouse Co., where he was a Senior Manager. He is a Certified Public Accountant and received a BS degree in accounting and a MBA in finance from St. Johns University. Mr. Ruisi is currently an adjunct professor of accounting at St. Johns University. since 2013.

Athene Holding Leadership Team
