Mr. Anderson Davis Warlick is an Independent Director of the Company. These skills and experience are directly related to developing and guiding the implementation of solutions to the Company current and strategic challenges. Mr. Warlick currently serves on the boards of three private corporations, one of which he serves as lead director, and is a member of their compensation and nominating governance committees. He previously served as a director of an additional private company, including as the lead director and a member of the audit committee. The experience he acquired in these roles contributes to his service on the Company Compensation and Nominating Governance Committees and previously as Lead NonManagement Director. since 2009.
