Mr. Richard L. Federico is an Independent Trustee of the Company. Richard L. Federico served as NonExecutive Chairman of P.F. Changs China Bistro Inc. from February 2016 to March 2019. He previously served as the Chairman and Chief Executive Officer or CoChief Executive Officer of P.F. Changs from September 1997 to March 2015 and as Executive Chairman from March 2015 to February 2016. Mr. Federico joined P.F. Changs as President in 1996, when he also began his service on its Board of Directors. Prior to joining P.F. Changs, Mr. Federico held a number of leadership positions in the restaurant industry including roles at Steak Ale, Orville Beans and Bennigans restaurants, Gradys Goodtimes, and Brinker International. Mr. Federico has served on the Dominos Pizza, Inc. Board of Directors since February 2011 and is a member of its Audit and Compensation Committees. He also sits on the boards of several private companies in the food industry and was previously the Chairman of the Board of Directors of Jamba, Inc. Mr. Federico is a Founding Director of Chances for Children. Mr. Federico extensive knowledge of the hospitality and food service industries, senior leadership experience and experience as a director of other publicly traded companies led the Nominating and Governance Committee to conclude Mr. Federico should serve as a member of our Board. since 2018.

Rithm Property Trust Leadership Team
Elected by the shareholders, the Rithm Property's board of directors comprises two types of representatives: Rithm Property inside directors who are chosen from within the company, and outside directors, selected externally and held independent of Rithm. The board's role is to monitor Rithm Property's management team and ensure that shareholders' interests are well served. Rithm Property's inside directors are responsible for reviewing and approving budgets prepared by upper management to implement core corporate initiatives and projects.
